FEE ARRANGEMENT HIGHLIGHTS FOR IRAs

Thank you for choosing Grubb & Ellis Realty Investors, LLC sponsored investments for your IRA.  Grubb & Ellis Realty Investors, LLC is not an IRA custodian and therefore has made arrangements with Community National Bank (CNB), a nationally recognized IRA custodian, to provide custodial services for your IRA.

Highlights:

• Grubb & Ellis Realty Investors, LLC will pay the IRA base and purchase fees for Grubb & Ellis Apartment REIT. The base and purchase fees for Grubb & Ellis Healthcare REIT II will be paid by Grubb & Ellis Healthcare REIT II.

• The account owner is responsible for any supplemental or special service fees charged by CNB, which will be automatically deducted from available cash within the IRA.  CNB will mail an invoice if funds are not available to cover custodial fees.

• You may elect to hold other investments within your CNB IRA.

• Activity fees related to other products will be the investor’s responsibility.  Please see CNB’s fee schedule for a breakdown.

• CNB has online access and eStatements available for financial representatives and account owners.  Please sign up by downloading the applications shown on our forms page.

Restrictions:

Should any of the following events occur, all custodial fees will be subject to the standard CNB fee schedule in effect at that time and will be the sole responsibility of the IRA owner.

• Liquidation of the qualifying Grubb & Ellis investment(s) held within the IRA

• Should the shares be listed on any national securities exchange or are subject to bona fide quotes on any inter-dealer quotation systems or electronic communications network, or are subject to bona fide quotes in the pink sheets.

• Should Grubb & Ellis’ Senior Management determine it is in Grubb & Ellis’ best interest to suspend or terminate the IRA fee arrangement.

• If the CNB IRA no longer holds a qualifying Grubb & Ellis product

Processing Tips:

Checks should be made payable to Community National Bank.

All IRA forms should be submitted to CNB along with the applicable Grubb & Ellis subscription document(s).

For a new IRA these forms include:

• The CNB IRA application
• A Transfer Request form, a Contribution form, or a Rollover Deposit Statement, depending on the funding source.
• A CNB Investment Authorization form
• Grubb & Ellis subscription document(s)

Once the forms are received at CNB:

• The IRA is generally established within 24 hours.
• The Transfer Request is sent to the prior custodian by Fed Ex Ground and follow-up is scheduled.
• Financial advisors receive a courtesy call when transfer or rollover funds are received.
• Checks received by 1 pm are normally deposited the day of receipt.
• Pending purchases are processed the day following the deposit of funds.
